These Terms of Service ("Terms") govern your use of the Upstate AI Receptionist website and AI phone answering services ("Service") operated by Upstate AI Receptionist ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Service Description

Upstate AI Receptionist provides an AI-powered phone answering service that:

• Answers incoming phone calls on behalf of your business
• Provides information to callers based on your business configuration
• Captures caller information and generates lead notifications
• Books appointments according to your availability preferences
• Delivers call summaries, transcripts, and notifications via text, email, or dashboard

2. Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Be a legally authorized representative of the business you register

You are responsible for all activity that occurs under your account.

3. Free Trial

We offer a 7-day free trial for new accounts. No credit card is required to start the trial. At the end of the trial period, you may choose to subscribe to a paid plan or your service will be deactivated. We reserve the right to modify or discontinue the free trial at any time.

4. Payment Terms

• Subscription fees are billed monthly in advance
• All prices are in US Dollars and do not include applicable taxes
• Payment is due on the billing date associated with your account
• We accept major credit cards and ACH bank transfers
• Failed payments may result in service suspension after a 5-day grace period
• Refunds are handled on a case-by-case basis; contact us within 30 days of charge

5. Cancellation

You may cancel your subscription at any time:

• There are no long-term contracts or cancellation fees
• Cancellations take effect at the end of your current billing period
• You will retain access to your account until the end of the paid period
• Call recordings and data will be available for download for 30 days after cancellation

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Engage in fraudulent, deceptive, or misleading practices
• Transmit unlawful, harmful, threatening, or harassing content
• Interfere with or disrupt the Service or its infrastructure
• Attempt to reverse-engineer or extract our AI models or proprietary technology
• Use the Service for any purpose other than legitimate business phone answering

7. Service Availability

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted availability and are not liable for any downtime or service interruptions. Scheduled maintenance will be communicated in advance when possible.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from the Service shall not exceed the fees you paid in the 3 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any lost revenue, lost profits, or business interruption resulting from our Service
• The AI receptionist is a supplementary tool and does not replace the need for human oversight of critical business communications

9. Indemnification

You agree to indemnify and hold harmless Upstate AI Receptionist, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Intellectual Property

All content, features, and functionality of the Service (including software, text, graphics, logos, and AI models) are owned by Upstate AI Receptionist and protected by intellectual property laws. Your call recordings and business data remain your property.

11. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Greenville County, South Carolina.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
